📋 Please read these Terms carefully before engaging our services. By proceeding with a SheetPilot implementation, you agree to these Terms. If you have questions, contact us before signing the service agreement.

Terms & Conditions

1. Definitions

  • "SheetPilot" / "we" / "us" refers to the SheetPilot service operated from Bangalore, Karnataka, India.
  • "Client" / "you" refers to the business or individual who engages SheetPilot's services.
  • "Services" refers to the Google Sheets automation implementation, reporting setup, and associated support provided by SheetPilot.
  • "Deliverables" refers to the configured automation system deployed in the Client's Google Workspace.
  • "Service Agreement" refers to the one-page written agreement signed between SheetPilot and the Client before work commences.

2. Acceptance of Terms

By engaging SheetPilot's services (whether via WhatsApp, email, website contact form, or signing a Service Agreement), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.

These Terms apply to all interactions with SheetPilot including free audit calls, paid implementations, add-on services, and ongoing support engagements.

3. Services Provided

SheetPilot provides a done-for-you Google Sheets automation service, which includes:

  • A free 30-minute audit call to assess your Google Sheets setup and automation opportunities.
  • Design and implementation of automation using Google Apps Script within your Google Workspace.
  • Branded HTML email template design for automated reports and alerts.
  • Testing, go-live support, and team walkthrough.
  • Bug-fix support for the duration specified in your chosen plan (30, 90, or 180 days).
  • Optional add-on services as described on our pricing page.

The exact scope of services for each engagement is defined in the Service Agreement signed prior to commencement of work.

4. Pricing, Payment & Invoicing

4.1 Pricing

All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless otherwise stated. Current pricing is available on our Pricing page. Prices are subject to change; the price quoted in your Service Agreement is the fixed price for that engagement.

4.2 Payment Schedule

  • 50% advance is required before development commences.
  • 50% balance is due on go-live day (Day 5), before the automation is switched to live mode.

4.3 Payment Methods

We accept payment via UPI, NEFT/IMPS/RTGS bank transfer, and cheque. A GST invoice will be issued for all payments within 24 hours of receipt.

4.4 Late Payment

If the balance payment is not received within 5 business days of go-live, SheetPilot reserves the right to suspend the automation until payment is cleared. No interest is charged for the first 5 business days.

5. Intellectual Property

5.1 Client's IP

All data in your Google Sheets, your business processes, and your Google Workspace account remain entirely your property. SheetPilot makes no claim to any of your business data or operational information.

5.2 SheetPilot's IP

The automation processing engine, report templates, email designs, and business logic deployed in our Web App project remain the exclusive intellectual property of SheetPilot. The Client receives a perpetual usage licence to operate the automation as deployed — but not ownership of the underlying code or templates.

5.3 Trigger Scripts

Trigger scripts deployed within the Client's Google Sheet are visible to the Client and may be examined. However, the Client agrees not to reverse-engineer, reproduce, or commercialise the logic embodied in SheetPilot's processing engine.

5.4 No Transfer of Source Code

SheetPilot does not deliver source code as a deliverable. The deliverable is a configured, running automation system.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate information about their business, workflows, and requirements during the audit call.
  • Grant SheetPilot temporary editor access to the relevant Google Sheet(s) for the duration of implementation.
  • Make a designated point of contact available for queries during the implementation period.
  • Review and approve test email designs and automation behaviour during the testing phase (Day 4).
  • Ensure that the Google Sheet structure does not change materially after go-live without informing SheetPilot (as structural changes may break automation).
  • Make timely payments as per the schedule in Section 4.

7. Support, Changes & Maintenance

7.1 Bug-Fix Support

Each plan includes a bug-fix support period (30 days for Starter, 90 days for Growth, 180 days for Business Pro). During this period, SheetPilot will fix any malfunction in the delivered automation at no additional charge, provided the issue is not caused by changes made to the Google Sheet structure by the Client.

7.2 Change Requests

Changes to the automation scope (new report fields, new recipients, new sheets) are not covered under bug-fix support. Growth plan Clients receive 2 change requests per month during the support period. Other change requests are charged at the applicable add-on rate.

7.3 After Support Period

After the support period ends, the automation continues to run independently at no cost. Ongoing support is available via the Annual Maintenance Contract (₹11,999/year) or Emergency Fix (₹999/incident) add-ons.

8. Data Access & Security

SheetPilot handles Client data as described in our Privacy Policy. Key points:

  • We request only the minimum access necessary to complete the implementation.
  • We do not store Client business data on external servers.
  • Editor access to Client Google Sheets is revoked by SheetPilot upon project completion, or upon Client request at any time.
  • The Client is responsible for maintaining the security of their own Google Workspace account.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • SheetPilot's total liability to the Client for any claim arising out of or related to these Terms shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
  • SheetPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill.
  • SheetPilot is not liable for failures caused by: changes to Google's Apps Script platform, Client modifications to the Sheet structure, Client's failure to provide accurate requirements, or force majeure events.
  • SheetPilot is not liable for Google Workspace outages, Gmail delivery failures, or any failure in Google's infrastructure.

10. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the engagement. SheetPilot will not disclose Client business processes, data, or financial information to any third party without written consent. This obligation survives termination of the engagement for a period of 3 years.

11. Termination

Either party may terminate the engagement prior to go-live by providing written notice. In this case:

  • If the Client terminates after work has commenced but before go-live, the advance payment (50%) is non-refundable (as work has already been performed).
  • If SheetPilot terminates (e.g., due to non-payment or the Client providing false information), the advance payment is forfeited and no deliverables are handed over.
  • After go-live, the automation is live in the Client's Google account and the engagement is considered complete. Support continues per the plan terms.

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

Before initiating legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation or mediation for a period of 30 days.

13. Modifications to Terms

SheetPilot reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. For active engagements, the Terms in effect at the time the Service Agreement was signed will apply.
